NHC Foods Moves to Expand Food and Beverage Business Through Two Acquisitions

NHC Foods Ltd is looking to strengthen its position in the food and beverage sector by acquiring controlling interests in two companies, Lotmor Brands Pvt Ltd and Walya’s Beverages Pvt Ltd. The company’s board approved proposals on September 16, 2026, covering a stake of up to 88% in Lotmor Brands and up to 80% in Walya’s Beverages.
The proposed transactions are part of NHC Foods’ efforts to broaden its activities beyond its established agricultural commodity business. Through these investments, the company intends to develop stronger connections between sourcing, food processing, distribution and consumer-facing products.
Lotmor Brands operates across food, beverages, grocery and wellness categories and has built a distribution presence across more than 20 states. Its products are available through a network of approximately 22,000 retail outlets, along with modern retail and quick-commerce channels. Walya’s Beverages is engaged in the manufacturing and trading of food and beverage products.
Under the proposed arrangement, the consideration may be paid in cash or through the issue of NHC Foods shares. The indicated share price is ?6.50 per share, subject to the applicable regulatory provisions. The completion of the transactions will also depend on due diligence and other required approvals.
The company expects the proposed acquisitions to create opportunities for better utilisation of its existing sourcing, processing and distribution capabilities. Bringing the two businesses into a wider operating network could also allow NHC Foods to participate in additional stages of the food and beverage value chain.
As part of the development, Suryakant Dhondu Walavalkar has been appointed as an Additional Director and Executive Director of NHC Foods, subject to shareholder approval. He is associated with Lotmor Brands and brings experience in areas including distribution and supply-chain operations.
The move highlights NHC Foods’ continuing shift toward a broader food and beverage platform, combining its existing agricultural sourcing capabilities with branded products, manufacturing and distribution. The proposed acquisitions could further expand the company’s presence in India's growing packaged food and beverage market.
